By accessing, purchasing, or using services provided by Vertex Reviews (“Company,” “we,” “our,” or “us”), you (“Client,” “you,” or “your”) agree to be bound by these Terms and Conditions.
If you do not agree, you must not use our services.

Description of Services

Vertex Reviews provides professional services including but not limited to:

• Google Business Profile (GBP) setup and optimization
• GBP management and maintenance
• Review monitoring and response services
• Identification and reporting of policy-violating reviews
• Google Business Profile suspension recovery and reinstatement assistance
• Local SEO enhancements
• Vertex Launch (business identity and setup services)
All services are performed in accordance with publicly available platform policies, including those of Google.

No Affiliation with Google

Vertex Reviews is an independent service provider and is not affiliated with, endorsed by, or sponsored by Google.

We do not have control over Google’s internal decisions, systems, or outcomes.

Client Responsibilities

The Client agrees to:

• Provide accurate and complete business information
• Maintain compliance with applicable laws and platform policies
• Grant necessary access (e.g., Google Business Profile permissions)
• Respond to requests for documentation or verification in a timely manner

Failure to cooperate may delay or impact service results.

Service Limitations and No Guarantees

Due to the nature of third-party platforms:

• We do not guarantee specific results, including:
• Profile reinstatement
• Ranking improvements
• Review removals

All outcomes depend on external platform decisions, including those of Google.

Payment Terms

A. Fees

• All services are billed as agreed (monthly or one-time)
• Prices are subject to change with notice

B. Payment Methods
Payments may be made via:

• Stripe (card payments)
• Zelle (business transfer)

C. Authorization
By submitting payment, you authorize Vertex Reviews to charge the agreed amount.

Subscription Services (Monthly Plans)

For recurring services:

• Billing occurs on a monthly basis
• Services automatically renew unless canceled

Cancellation Policy

• Client may cancel at any time with 7 days’ written notice
• No partial refunds for unused billing periods

Refund Policy

• All payments are non-refundable once services have been initiated
• Due to the nature of digital and service-based work, time and resources are allocated immediately

Exceptions may be made at our sole discretion.

Access and Account Permissions

Client acknowledges that:

• Granting access (e.g., GBP Manager/Admin) is required for service delivery
• Vertex Reviews will only use access for authorized service purposes

Client retains full ownership of all accounts.

Intellectual Property

All materials created by Vertex Reviews, including:

• Content
• Responses
• Branding assets (if applicable)

remain the property of Vertex Reviews unless otherwise agreed in writing.

Client is granted a non-exclusive right to use deliverables for business purposes.

Confidentiality

Both parties agree to maintain confidentiality of:

• Business information
• Account data
• Communications

This obligation survives termination of services.

Limitation of Liability

To the fullest extent permitted by law:
Vertex Reviews shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of business, revenue, or reputation
• Actions or decisions made by third-party platforms

Total liability, if any, shall not exceed the amount paid by the Client within the last 30 days.

Indemnification

Client agrees to indemnify and hold Vertex Reviews harmless from any claims arising from:

• Client violates these Terms
• Client engages in unethical, illegal, or non-compliant activities
• Required cooperation is not provided

No refunds will be issued in such cases.

Third-Party Platforms

Our services depend on third-party systems, including:

• Google

We are not responsible for:

• Platform changes
• Algorithm updates
• Suspension decisions

Force Majeure

We shall not be liable for delays or failure to perform due to events beyond our control, including:

• System outages
• Government actions
• Natural disasters
• Platform disruptions

Governing Law

These Terms shall be governed by the laws of the State of New Jersey, United States.

Dispute Resolution

Any disputes shall be resolved through:

• Good-faith negotiation first
• If unresolved, through courts located in New Jersey

Modifications to Terms

We reserve the right to modify these Terms at any time.

Continued use of services constitutes acceptance of updated Terms.
